Description of Services
Matrix64 provides US IT staffing and talent acquisition services, including but not limited to:
- Contract and Corp-to-Corp (C2C) staffing
- Direct hire and permanent placement
- IT staff augmentation
- W2 payroll and compliance management
- Executive and niche IT talent search
- Offshore and remote team building
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice.
Eligibility
Our services are intended for use by individuals who are at least 18 years of age and businesses operating in the United States. By using our Site or services, you represent and warrant that you meet these requirements and that you have the legal authority to enter into a binding agreement.
User Accounts & Submissions
When you submit a contact form, resume, or job requirement through our Site, you agree to provide accurate, current, and complete information. You are responsible for maintaining the accuracy of any information you provide and for notifying us promptly of any changes.
You are responsible for all activities that occur through your submissions and communications with us. We reserve the right to refuse service to anyone for any reason at any time.
Acceptable Use

Candidate Terms
If you use our services as a job candidate or consultant, you agree to the following:
- All information you provide in your resume, profile, or communications is truthful, accurate, and current. Providing false credentials or misrepresenting your experience may result in immediate removal from our database and notification to affected parties.
- You authorize Matrix64 to submit your profile to prospective employers on your behalf. We will always seek your consent before submitting your resume to a specific client.
- You will not misrepresent your availability, right to work in the United States, or tax status (W2, C2C, 1099).
- You understand that Matrix64 does not guarantee placement or employment and that any offer of employment is solely at the discretion of the hiring client.
Client Terms
If you use our services as a hiring company or client, you agree to:
- Provide accurate and complete information about your staffing requirements, including the role, duration, location, compensation range, and applicable legal requirements.
- Comply with all applicable employment laws, including equal opportunity employment, anti-discrimination, and visa and work authorization requirements.
- Treat all candidate information shared by Matrix64 as confidential and use it solely for the purposes of evaluating candidates for positions you have engaged Matrix64 to fill.
- Not directly engage any candidate introduced by Matrix64 without first notifying Matrix64, as defined by any applicable service agreement.
- Honor agreed-upon billing terms and payment schedules as set forth in your service agreement with Matrix64.
Disclaimers
THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, MATRIX64 DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Matrix64 does not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or usefulness of any information on the Site.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MATRIX64 INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE OR SERVICES.
In no event shall Matrix64's total liability to you for all claims arising from or related to the use of the Site or services exceed the amount paid by you, if any, for access to our services in the twelve (12) months preceding the claim.
Indemnification
You agree to indemnify, defend, and hold harmless Matrix64 Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site or services, including any misrepresentation of your qualifications, credentials, or business information.
Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms or our services shall first be attempted to be resolved through good-faith negotiation. If not resolved within 30 days, disputes shall be submitted to binding arbitration in Miami-Dade County, Florida, under the rules of the American Arbitration Association. You waive any right to a jury trial.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page. Your continued use of the Site or services after any modification constitutes your acceptance of the revised Terms.
